Applicable to the C Tech Web Shop

The below terms and conditions (the “Agreement”) forms the agreement between You and C Tech, under which C Tech sells You usage rights to the Product. Hence, this Agreement governs the sale as such. Your and C Tech 19s rights and obligations with respect to Your actual use of the Product follows from a separate End User License Agreement (the “EULA”) associated with the Product. The EULA is available in conjunction with this Agreement. You will normally be requested to confirm Your acceptance of the EULA at the actual installation of the Product.

You accept the terms and conditions of this Agreement as well as the EULA by proceeding with the purchase of the rights to use the Product. You must refrain from purchasing the usage rights if You do not accept the terms and conditions contained herein or in the EULA.

1. Definitions

1.1. “You” means a legal entity acting by and through an individual purchasing usage rights to the Product (as defined below), or an independently acting individual if the former definition by nature is not applicable.

1.2. “C Tech” means C Technologies AB, a Swedish corporation with its principal place of business at Traktorvägen 11, SE-226 60 Lund, Sweden

1.3. “Product” means (a) a software item or other similar product (such as but not limited to a dictionary database) and (b) a license key required to enable the use of said software or other intangible product, with which this Agreement is associated as follows from information on the web site from which the usage rights are sold.

2. Supplied Information

2.1. You are requested to supply certain personal information during the purchase process. However, unless You authorize otherwise, C Tech and its associates will only use the submitted information to complete the actual business transaction.

2.2. The license key, being a part of the Product, is generated on an individual basis, and may be tied to an e-mail address and/or a serial number of a hardware item which You are requested to state. It is therefore vital that You state a genuine e-mail address and/or the actual serial number of the hardware item with which You intend to use the Product.

3. Pricing and Payment

3.1. All Product pricing includes Swedish value added tax (“moms”). C Tech 19s VAT number is SE556753530601.

3.2. The usage rights to the Product are paid for by credit card. C Tech accepts Visa and Mastercard.

3.3. The payment is secured by DIBS Payment Gateway. The credit card number, expiry date and other card related information are sent through an encrypted connection directly to the bank. C Tech does not have access to any information about the credit card or the Buyer 19s bank account. DIBS uses SSL which is the industry standard for secure commercial transactions.

4. Delivery and Installation

4.1. The Product license key is delivered to You in an e-mail sent to the e-mail address You stated during the purchase process. You will also receive a receipt of the financial transaction by e-mail, normally with the same e-mail as you received the license key in. Please keep the license key and the receipt information in a safe place for future reference.

4.2. The Product software (or other similar item, as applicable) is downloaded to Your computer from C Tech 19s web site. This may be done manually by following instructions on the web site, or from an installation guide (a “wizard”, being a part of a separate C Tech software product).

4.3. Irrespectively of download method, You need to follow the instructions on the C Tech web site or in the C Tech installation guide, in order to complete the installation in Your computer and launch the Product.

5. Return Policy, Obligation to Review Information

5.1. In consideration of the individual nature of the license key and the inability for C Tech to practically and efficiently withdraw a license key once it has been sent to You, C Tech cannot accept return of license keys and/or claims for refunds.

5.2. C Tech strives to describe the Product as accurately as possible on the C Tech web site. You are requested to carefully review all such Product related information and not to proceed with the purchase of usage rights unless the information meets your expectations and requirements.

6. Miscellaneous

6.1. This Agreement embodies the entire understanding between the parties respecting the subject matter of this Agreement. This Agreement shall otherwise not be modified except by a writing duly signed by an authorized officer of C Tech. However, nothing contained herein affects Your statutory rights, including rights of consumers under national regulations governing the sale of consumer goods, that cannot be waived or limited by contract.

6.2. The failure of either party to require performance by the other party of any provision of this Agreement shall in no way affect the full right to require such performance at any time thereafter. Should any provisions of this Agreement be found unenforceable by a court of competent jurisdiction, the remainder shall remain in effect to the furthest possible extent.

7. Governing Law and Jurisdiction

7.1. This Agreement and the validity thereof shall be governed by and construed in accordance with the substantive laws of Sweden.
